GROW (EARN) TERMS & CONDITIONS

IMPORTANT NOTICE: THE SERVICES DESCRIBED HEREIN ARE NOT BANKING DEPOSITS. YOUR FUNDS ARE NOT INSURED BY THE BULGARIAN DEPOSIT INSURANCE FUND (BDIF) OR ANY OTHER GOVERNMENTAL INSURANCE SCHEME. THE "GROW" SERVICE INVOLVES RISKS, INCLUDING THE POTENTIAL LOSS OF PRINCIPAL.

1. INTRODUCTION AND ACCEPTANCE

1.1. These Grow (Earn) Terms and Conditions ("Grow Terms") constitute a legal agreement between you ("User" or "you") and Stored Assets Ltd, a company incorporated in Bulgaria under company number 208080420, with its registered address at 27D Srebarna St., Block 6, Entrance B, Floor 4, Apt. 14, PZ Hladilnika, Lozenets, Sofia 1407, Bulgaria ("Simple", "Company", "we", or "us").

1.2. These Grow Terms govern your use of the yield-generating product known as "Grow" (or "Earn") available within the Simple mobile application (the "App").

1.3. By clicking "Start Earning", "Allocate", or otherwise opting into the Grow Service, you expressly acknowledge that you have read, understood, and agreed to be bound by these Grow Terms. These terms are in addition to the Simple general Terms & Conditions. In the event of a conflict regarding the Grow Service, these Grow Terms shall prevail.

2. NATURE OF THE SERVICE (THE MANDATE)

2.1. The Grow Service allows you to allocate certain supported Digital Assets from your Custodial Wallet to various yield-generating strategies ("Strategies"). By allocating funds to Grow, you grant Simple a specific mandate to act as your intermediary to deploy these assets into third-party lending pools, liquidity protocols, or institutional borrowing facilities ("Third-Party Providers").

2.2. You expressly acknowledge that:

a) Simple is not a bank;

b) The Grow Service is not a savings account or a deposit;

c) Simple does not pay interest on your idle funds; rather, any rewards you receive are a share of the yield generated by the deployment of your assets into the Strategies.

2.3. You acknowledge that when you allocate assets to Grow, they may be moved from Simple’s cold or hot storage and deposited into accounts, smart contracts, or wallets controlled by Third-Party Providers to generate yield.

3. YIELD AND REWARDS

3.1. The Annual Percentage Yield ("APY") or rewards rate displayed in the App is estimated and variable. It reflects the current market performance of the underlying Strategy. We do not guarantee that the APY displayed at the time of allocation will remain the same for the duration of your holding.

3.2. Rewards typically accrue based on the daily balance of your allocated assets. The specific timing of accrual and payout (e.g., daily, weekly) is displayed in the App interface for each specific asset.

3.3. Simple acts as a service provider managing the Strategy. We reserve the right to deduct a service fee from the gross yield generated by the Third-Party Provider before distributing the net Rewards to you. The APY displayed in the App is net of all Simple service fees.

3.4. Historical performance of any Strategy is not indicative of future results. Simple does not guarantee any specific rate of return or profit. In extreme market conditions, the yield may be zero.

4. CUSTODY AND OMNIBUS ACCOUNTS

4.1. To provide the Grow Service efficiently, Simple may pool (commingle) your allocated Digital Assets with the assets of other users in consolidated ("omnibus") accounts or addresses held with Third-Party Providers.

4.2. Notwithstanding such pooling, Simple maintains separate internal ledgers to track your individual allocation and accrued Rewards. You remain the beneficial owner of your allocated assets and Rewards, subject to the risks described in Section 6.

5. WITHDRAWALS AND LOCK-UPS

5.1. You may request to un-stake or de-allocate your assets from the Grow Service at any time via the App ("Redemption").

5.2. While Simple aims to process Redemptions promptly (often instantly or within T+1 days), you acknowledge that the liquidity of your assets depends on the underlying Third-Party Providers.

a) In normal market conditions, withdrawals are processed according to the timelines stated in the App.

b) In times of extreme market volatility, network congestion, or delays caused by Third-Party Providers, Redemptions may be delayed.

5.3. Simple reserves the right to temporarily suspend Redemptions or allocations in the event of:

a) A suspension of withdrawals by a Third-Party Provider;

b) A hard fork or other blockchain network disruption;

c) A requirement by Applicable Law or a directive from a Governmental Authority.

6. RISK DISCLOSURE

PLEASE READ THIS SECTION CAREFULLY. THE GROW SERVICE CARRIES RISKS.

6.1. Your funds allocated to Grow are not protected by any deposit insurance scheme.

6.2. The generation of yield involves exposure to Third-Party Providers (e.g., institutional borrowers or DeFi protocols). If a Third-Party Provider defaults, becomes insolvent, or suffers a security breach, there is a risk that Simple may be unable to recover the deployed assets. In such a worst-case scenario, you may lose some or all of your allocated principal.

6.3. The value of Digital Assets is highly volatile. The value of your rewards (in fiat terms) may decrease. For stablecoins (e.g., USDC), there is a risk that the asset may de-peg from its fiat counterpart.

6.4. Strategies may rely on smart contracts or blockchain protocols which are susceptible to hacking, bugs, or technical failure.

7. TAXATION

7.1. You are solely responsible for determining any tax implications of using the Grow Service, including the reporting and payment of any capital gains or income tax arising from Rewards received. Simple does not provide tax advice.

8. CHANGES TO TERMS

8.1. Simple reserves the right to modify these Grow Terms at any time. If we make material changes (e.g., changing the risk profile or fee structure), we will notify you through the App. Your continued use of the Grow Service after such changes constitutes acceptance.

9. GOVERNING LAW

9.1. These Grow Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria. Any disputes arising under these Grow Terms shall be resolved in accordance with the Dispute Resolution clause set forth in the Simple general Terms & Conditions.
